LUCD stock watch: Medicare payments begin, with financing terms to check

Published: Company announcement: Oct 22Price snapshot: Oct 23, 10:14 AM ET

Lucid Diagnostics (Nasdaq: LUCD) says Medicare has begun paying for its EsoGuard esophageal DNA test. Alongside that commercial milestone, the company closed a $15 million preferred-stock financing on October 21. For common shareholders, the opportunity to collect testing revenue and the cost of the new capital belong in the same discussion. [1]

The commercial change

Claims are now generating payments

Medicare rate
$1,938.01 per test at the established Clinical Laboratory Fee Schedule rate.
Billing code
0114U for EsoGuard.
New financing
$15 million of Series C Convertible Preferred Stock.

Lucid said payments followed claims for tests performed at one of its two CLIA-certified laboratories. Its announcement did not quantify the total payments received. [1]

Our reading: receiving money is a more concrete commercial step than announcing plans to submit claims. The next useful measures are paid-claim volume, collection timing and the revenue ultimately recognized. Multiplying all tests by the listed reimbursement rate would skip those checks and would not establish actual sales.

The capital comes with continuing obligations

The Form 8-K specifies an initial conversion price of $0.3519. Series C carries a 20% annual dividend, paid quarterly in common shares from December 31, 2026 through March 31, 2030 while applicable. Ownership limits and Nasdaq issuance restrictions apply. [2]

In a liquidation or defined equivalent event, preferred holders have priority over common holders and receive the greater of 300% of stated value plus unpaid dividends or the as-converted amount. The conversion price of existing 12% secured convertible notes due 2029 also falls to $0.3519. [2]

Using the announced $15 million and initial conversion price gives roughly 42.6 million common shares for the original preferred principal alone. This calculation excludes dividend shares, later adjustments and other securities; actual issuance remains subject to the contract's limits. [1] [2]

For an existing shareholder, fresh cash supports the business, while conversion and stock dividends can increase the share count. The liquidation preference also puts a claim ahead of common equity. Those are specific economic terms to weigh against the reimbursement progress.

The earlier results provide a scale check

In its August 13 update, Lucid reported $1.5 million of second-quarter revenue, 2,770 processed tests and approximately $14.3 million of operating expenses. Cash and equivalents were $33.4 million at June 30. Those are historical figures from before the new financing and Medicare-payment announcement. [3]

The gap between that reported revenue base and operating spending explains why collection growth matters. A useful follow-up compares subsequent recognized revenue and spending together, rather than treating the financing proceeds as revenue or adding them to an old cash balance to estimate today's cash.
