Published: Announcement: Oct 20, 6:15 PM ETPrice snapshot: Oct 21, 10:28 AM ET

Ashford Hospitality Trust (NYSE: AHT) is in focus after its advisor agreed to six months of fee relief and quarterly purchases of existing shares. The hotel REIT also ended its at-the-market equity program. The October 20 announcement estimates approximately $17 million in fee savings. [1]

The numbers

What changed for shareholders?

Fee savings
Approximately $17 million, or about $2.60 per common share, according to the company.
Advisor purchases
2.5% of outstanding common shares per quarter; roughly 162,000 shares for the initial commitment.
First deadline
March 31, 2027, for purchases relating to the quarter ended September 30, 2026.

These figures come from the issuer's release, which used approximately 6.47 million outstanding shares to illustrate the initial purchase amount. Independent directors approved the fee waiver and purchase agreement. [1]

Fee relief preserves cash, with an end date

The filed waiver runs from October 20, 2026 through April 20, 2027. Fees covered by it will neither accumulate as a later bill nor become payable after the period ends. Other payment obligations, including already accrued unpaid fees or expenses, remain in place. [2]

Our reading: avoiding a cash outflow helps near-term liquidity, but it does not add hotel revenue or permanently reduce the advisory cost base. The useful follow-up is whether operating cash flow improves while the relief is available, and how payments change when it expires.

The advisor buys existing shares

Ashford Inc., the advisor, is the purchaser. AHT will not sell it new shares under this contract. Purchases must follow permitted trading arrangements and ownership limits; amounts blocked by those limits are excluded. [3]

Each quarterly commitment has a six-month completion window. A shortfall produces an advisory-fee credit calculated using 150% of the relevant volume-weighted average price for each missing share. The contract makes that credit the company's sole remedy for a purchase shortfall. [3]

That structure can add a buyer to the market, but it does not retire shares or put purchase proceeds into AHT's bank account. Investors should distinguish an announced commitment from completed purchases and watch subsequent ownership disclosures.

The ATM exit removes one issuance channel

The Form 8-K confirms termination of the Virtu Americas equity distribution agreement at the October 20 close. That arrangement had allowed up to $100 million of common-stock sales. [4]

Closing that facility removes a specific source of potential share issuance. It also closes a funding route. Future financing decisions, hotel cash generation and the temporary nature of the fee waiver therefore remain central to assessing the package.
